1. Who you are contracting with
These Terms & Conditions are between you and Commission Guardian LLC ("Commission Guardian LLC", "we", "us"), the seller and operator of the CommissionGuard service. By creating an account or continuing to use the service, you agree to these terms.
2. The service
CommissionGuard reads carrier commission statements you upload, compares them against the policies and commission rates you record, and reports discrepancies such as missing, short, late, duplicate, or unexpected payments. We grant you a limited, non-exclusive, non-transferable right to use the service within the limits of your selected plan.
Findings are estimates based on the documents and rates you provide. You are responsible for the accuracy of your uploads and rate schedules, for reviewing findings before acting on them, and for how you use the results. The service is an audit aid, not legal, accounting, or financial advice.
3. Your account
You must provide accurate information and keep it updated. You are responsible for keeping your account credentials confidential and for all activity under your account. You must have the authority to bind your agency or organization if you use the service on its behalf.
4. Acceptable use
You must not misuse the service. That includes, without limitation:
- using the service for any unlawful purpose, or to commit fraud or send spam;
- infringing anyone's intellectual property rights;
- interfering with the security or operation of the service, including introducing malware, probing or scanning our systems, or scraping the service;
- reverse engineering the service, reselling or redistributing it, or circumventing plan limits;
- uploading documents you have no right to possess or share.
5. Intellectual property
Commission Guardian LLC retains all ownership of the service and its intellectual property, including the software, documentation, and branding. You retain ownership of the statements and data you upload; you grant us a limited license to host and process that content solely to provide the service to you.
6. Payments, billing, and subscriptions
Paid plans are billed monthly and renew automatically until canceled. A 7-day free trial is offered on new subscriptions; unless you cancel before the trial ends, your plan converts to a paid subscription at the end of the trial.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms at https://www.paddle.com/legal/checkout-buyer-terms.
If you cancel, your access ends immediately at the time of cancellation. See our Refund Policy for how to request a refund.
7. Service level
We work hard to keep the service available, but we do not guarantee uninterrupted or error-free performance. Statement extraction depends on the formats carriers publish, and findings should be verified against your carrier records.
8. Suspension and termination
We may suspend or terminate your access for material breach of these terms, non-payment, a security or fraud risk, or repeated or serious violations of our acceptable use rules. When your access ends, your data may be deleted after a reasonable retention window; export anything you need beforehand.
9. Disclaimers and liability
The service is provided "as is". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect, consequential, or special damages (including lost profits, lost data, or lost goodwill). Our aggregate liability is capped at the fees you paid in the 12 months before the claim. Nothing in these terms limits liability for fraud, death, or personal injury where the law does not allow it.
10. General
You may not assign these terms without our consent; we may assign them in connection with a merger or acquisition. Neither party is liable for delays caused by events beyond its reasonable control. These terms are governed by the laws of the state where Commission Guardian LLC is organized, and disputes will be resolved in the courts of that jurisdiction.
